Code of Ethics Follow
DG3 Diversified Graphic Solutions (together with its subsidiaries, the "Company") has adopted this Code of Ethics (this "Code") in order to deter wrongdoing and promote:
- Honest and ethical conduct, including the ethical handling of actual or apparent conflicts of interest between personal and professional relationships; Full, fair, accurate, timely, and understandable.
- Compliance with applicable governmental laws, rules, and regulations.
- The protection of Company assets, including corporate opportunities and confidential information.
- Fair dealing practices.
All directors, officers, employees and crew are required to be familiar with this Code, comply with its provisions, and report any suspected violations as described below.
Honest And Ethical Behavior
The company wants to make sure that everyone behaves with honesty and integrity in how they work and make business decisions.
All the people who are in charge or work for the company must act with integrity and follow the best ethical standards in how they interact with customers, suppliers, partners, service providers, competitors, employees, and anyone else they may come into contact with while doing their job.
Conflicts Of Interest
A conflict of interest happens when someone's personal interests interfere with the company's interests. This can happen when an employee, officer, or director (or a family member) takes actions that can make it hard for them to do their work for the company objectively. Conflicts of interest can also happen when someone in a position of power at the company or their family members receives improper personal benefits.
Loans or guarantees made by the company to someone who works for it or their family members, are strictly prohibited.
Employees who have questions about a potential conflict of interest or become aware of one, should discuss it with their supervisor and get permission before proceeding.
Business Opportunities
Everyone who is in charge or works for the company, has a responsibility to help the company's interest when a good opportunity comes up. They are not allowed to take advantage of opportunities that they find out about through the company's resources, information or position, for their own personal gain. They are also prohibited from using the company's resources, information or position for personal gain and competing with the company.
Keeping Information Secret
Directors, officers, crew and employees must keep secret any information that the company or its customers have trusted them with, unless they have been given permission to share it or it's legally required. This includes any information that could be helpful to the company's competitors or harmful to the company or its customers, suppliers or partners if it's shared.
Protection And Proper Use Of Company Property
All the people who are in charge or work for the company, should take care of the company's property and use them efficiently. They should not steal, be careless or waste company resources, as it negatively affects the company's profits, and is prohibited.
All company's assets should only be used for legitimate business reasons. Any suspected fraud or theft should be reported right away for investigation.
The responsibility to protect the company's assets also includes protecting the company's private information. This includes things like secret business methods, plans, engineering and manufacturing ideas, designs, records and any non-public financial data or reports. It's prohibited and illegal to use or share this information without permission, and could lead to penalties.
